In connection with our evaluation of providing financial advisory services or raising financing for your company (the “Company”), we understand that the Company will be providing certain financial information (the “Information”) which is either non-public, confidential, or proprietary. In consideration of Essex being furnished with the Information, we agree that:

1. The Information will be kept confidential and will not, without the Company’s prior written consent, be disclosed by Essex or our representatives, in any manner whatsoever, in whole or in part, and will not be used by Essex or our representatives directly or indirectly for any purpose other than evaluating our ability to provide advisory services.
2. The Information and all copies thereof will be destroyed or returned immediately following completion or abandonment of the evaluation by Essex.
3. The provisions of this letter shall be inoperative to the extent that Essex or anyone to whom the Company transmits the Information pursuant to this letter, becomes legally compelled (by oral questions, interrogatories, request for information or documents, subpoena, civil investigative demand or similar process), to disclose any of the Information. In such event, Essex shall provide the Company with such notice as may be reasonably practicable under the circumstances.
4. Essex acknowledges that the existence of this Privacy Policy is a condition precedent to disclosure of the Information.

This Privacy Policy is applicable to Information received from prospective, current and former clients. We reserve the right to alter this policy at our discretion.
